PRAXON – Terms & Conditions and Liability Disclaimer

1. Scope and Definitions

   These Terms and Conditions govern the provision of consulting and related services under the brand name PRAXON.

PRAXON is a commercial brand and trade name operated by GPC IT, a company registered in the Netherlands.
All services offered under the PRAXON name are legally provided by GPC IT.
Legal Entity and Contact Details
“GPC IT” refers to the legal entity GPC IT, registered with the Dutch Chamber of Commerce.
“PRAXON” refers solely to the brand identity under which certain services of GPC IT are marketed.
“Client” refers to any natural or legal person engaging services offered under the PRAXON brand.

These Terms apply to all engagements, proposals, communications, and services delivered under the PRAXON name.



2. Services and Limitation of Liability

   All services provided under the PRAXON brand are consultancy services delivered by GPC IT on a strictly advisory basis.

Any advice, analysis, recommendations, strategies, or opinions provided are for informational purposes only and do not constitute guarantees of outcomes, performance, financial results, legal compliance, or business success.

To the maximum extent permitted under Dutch law, GPC IT’s total liability for any direct damages arising from services provided under the PRAXON brand is limited to the total fees paid by the Client for the specific project giving rise to the claim.

This limitation does not apply in cases of intentional misconduct or gross negligence, in accordance with Dutch Civil Code Articles 6:74 and 6:248.



3. Exclusion of Indirect and Consequential Damages

   GPC IT is not liable for any indirect, incidental, or consequential damages, including but not limited to loss of revenue, loss of profit, loss of business opportunities, loss of data, loss of anticipated savings, or reputational damage.

This exclusion is permitted under Dutch Civil Code Articles 6:95 and 6:96.



4. Compliance and Professional Standards

   GPC IT operates in accordance with applicable Dutch laws and professional standards, including data protection and privacy regulations.

The Client remains solely responsible for the implementation of advice, regulatory compliance, decisions made based on consultancy output, and the actions of internal staff or third-party providers.



5. Force Majeure

   GPC IT is not liable for failure or delay in performance caused by events beyond reasonable control, including natural disasters, government measures, power or network failures, cyber incidents affecting third parties, or acts of war or civil unrest.



6. Claims and Time Limitation

   Any claim arising from services provided under the PRAXON brand must be reported in writing within one (1) year from the completion date of the relevant project.

This clause aligns with Dutch Civil Code Article 3:310.



7. Governing Law and Jurisdiction

   These Terms and Conditions are governed exclusively by Dutch law.

All disputes shall be submitted exclusively to the competent courts in the Netherlands.



8. Intellectual Property Rights

   All materials, content, methodologies, frameworks, documentation, visuals, and proprietary know-how provided under the PRAXON brand remain the exclusive intellectual property of GPC IT, unless explicitly agreed otherwise in writing.

The Client is granted a non-exclusive, non-transferable, non-sublicensable license to use deliverables solely for internal purposes.

Reproduction, distribution, disclosure, or commercial reuse is prohibited without prior written consent from GPC IT.



9. Third-Party Services and External Resources

   Services may involve references to third-party tools, platforms, providers, or publicly available information.

GPC IT is not responsible for the accuracy, performance, availability, or decisions of any third-party services.



10. Confidentiality and Data Protection

    GPC IT treats all Client information as confidential and processes personal data in accordance with GDPR and applicable Dutch privacy legislation.

Clients are required to maintain confidentiality regarding any non-public information received from GPC IT.

Confidentiality obligations remain in effect after termination of the engagement.



11. Non-Waiver and Severability

    Failure by GPC IT to enforce any provision does not constitute a waiver of that provision.

If any provision is held unenforceable, all remaining provisions remain fully effective.



12. Entire Agreement and Amendments

    These Terms constitute the entire agreement between the Client and GPC IT regarding services offered under the PRAXON brand.

No other statements or representations are binding unless confirmed in writing.

GPC IT reserves the right to amend these Terms. Amendments become effective upon publication.
